Starting from September 1, 2025, the Law on LLC will make it possible to provide in the articles of association that for all or some of the company's participants, the exercise of the pre-emptive right to purchase a share or part of it depends on the occurrence of certain circumstances, the deadline or a combination of these factors. In addition, participants will have the right to prohibit this transaction (paragraphs 2 of paragraphs “b” of paragraphs 1 of Articles 1 and 2 of Federal Law No. 186-FZ dated 07.07.2025).

This authority may be granted:

· to all participants;

· one or more persons named in the articles of association;

· participants who have certain characteristics.

Currently, there is no provision in the Law on LLC that would allow the cancellation of the right of pre-emptive purchase of a share or part thereof.
