On July 18, 2025, the amendments to the Civil Code of the Russian Federation come into force. According to them, LLC participants enjoy the pre-emptive right to purchase a share or part of it, unless otherwise provided in the charter.

These amendments were introduced by Federal Law No. 185-FZ dated 07.07.2025 “On Amendments to Article 93 of Part One of the Civil Code of the Russian Federation”

In accordance with this Federal Law, the first sentence of the second paragraph of paragraph 2 of Article 93 of Part one of the Civil Code of the Russian Federation is worded as follows: “The participants of the company enjoy the pre-emptive right to purchase a share or part of a share of participant in the company, unless otherwise provided by company’s charter."

In accordance with the previous version, the sale or other alienation of share or part of a share in the authorized capital of limited liability company to third parties is permitted in compliance with the requirements provided for by the law on limited liability companies, unless prohibited by the company’s charter.
